Introduction and Definitions

Welcome to The Trading Nook ("we", "us", "our", or the "Company"). By accessing or using our website at https://www.thetradingnook.com (the "Site"), you agree to comply with and be bound by the following Terms of Use. If you do not agree with these terms, please do not use the Site.

For clarity throughout this document, the following definitions apply:

  • "Content" refers to all materials on the Site, including but not limited to text, images, videos, graphics, charts, tools, calculators, signals, and other                information.

  • "User" or "you" refers to any individual or entity accessing or using the Site.

  • "User Content" refers to any information, data, text, or other materials that users submit to the Site.

  • "Services" refers to all features, functions, tools, and educational resources provided through the Site.

 

1. Use of the Site

The Site provides educational content related to investing and personal finance. All materials, including text, images, videos, and interactive tools, are for informational and educational purposes only.

Acceptable Use. You agree to use the Site lawfully and not to:

  • Violate any applicable laws or regulations.

  • Distribute spam, malware, or harmful content.

  • Attempt to access or interfere with the Site's systems or other users.

  • Use automated systems or software to extract data from the Site (screen scraping).

  • Impersonate any person or entity or falsely state your affiliation with a person or entity.

  • Engage in any activity that could disable, overburden, or impair the proper functioning of the Site.

 

Age Restrictions. The Site is intended for users who are at least 18 years of age. By using this Site, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Intellectual Property

All content on the Site—including but not limited to graphics, text, videos, logos, code, and design elements—is the intellectual property of The Trading Nook or its content providers and is protected by copyright and other intellectual property laws.

Permitted Use. You may:

  • View and use content for personal, non-commercial use only.

  • Share links to content on the Site through social media or other platforms, provided you attribute the content to The Trading Nook.

       Prohibited Use. You may not:

  • Copy, reproduce, distribute, modify, or publicly display content without express written permission.

  • Use any content for commercial purposes without prior written consent.

  • Remove any copyright, trademark, or other proprietary notices from any content.

  • Create derivative works based on the content found on the Site.

 

Trademarks. The Trading Nook name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of The Trading Nook or its affiliates. You may not use these marks without the prior written permission of The Trading Nook.

3. Financial Education and Advice Disclaimer

Not Investment Advice. The information provided on this Site is not investment advice. We do not make recommendations for buying, selling, or holding any financial instruments. This includes any automated "signals," indicators, or "BUY"/"SELL" markers displayed on the Site, which are educational illustrations and not recommendations (see the Disclaimer in Part II). The Trading Nook is not a registered investment adviser or broker-dealer. You are solely responsible for your own investment decisions. Please consult a licensed financial advisor before making any financial decisions.

Impersonal, General-Circulation Publication. The Site's content, including any signals and indicators, is a bona fide publication of general and regular circulation, made available to all users on the same impersonal basis. It is not based on, and is not tailored to, the financial situation, holdings, or objectives of any individual user. We do not provide individualized investment advice, do not manage any account, and do not enter into any advisory or fiduciary relationship with you. Nothing on the Site is a person-to-person recommendation.

Educational Purpose. All content, tools, calculators, signals, and resources are provided for general educational and informational purposes only. The Trading Nook does not guarantee the accuracy, completeness, or usefulness of any information presented.

Risk Disclosure. Investing in financial markets involves risk, including the possible loss of principal. Cryptocurrencies and other volatile assets carry heightened risk and may lose all of their value. Past performance is not indicative of future results. The Trading Nook is not responsible for any losses or damages resulting from reliance on information provided on the Site.

Assumption of Risk. You acknowledge and agree that you use the Site, its content, and any signals entirely at your own risk, and that you accept full responsibility for all of your trading and investment decisions and their outcomes, including the risk of total loss — which is heightened for volatile assets such as cryptocurrencies. You represent that you are financially able to bear such risks.

No Reliance. You agree that you are not relying, and will not rely, on any content, tool, indicator, or signal on the Site as the basis for any trading or investment decision, and that any decision you make is based on your own independent judgment and research and, where appropriate, advice from your own licensed professionals. You agree that The Trading Nook has no liability to you for any decision you make or action you take in connection with the Site.

4. User Accounts

Account Creation and Maintenance. If you create an account or subscribe to updates, you are responsible for:

  • Providing accurate and complete information.

  • Keeping your login credentials confidential.

  • All activities that occur under your account.

 

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Account Termination. We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice. We may also suspend or terminate your account for inactivity or for any other reason we deem appropriate.

5. Payments, Subscriptions, Auto-Renewal, Refunds & Donations

Payment Processing. Payments are processed by third-party payment providers (for example, Stripe and/or Wix Payments) under their own terms and privacy policies. We do not store your full payment-card details. Prices are stated in U.S. dollars and may be exclusive of applicable taxes, which you are responsible for paying.

Subscriptions and Automatic Renewal. Paid subscriptions and memberships are billed in advance on a recurring basis (for example, monthly or annually) and automatically renew at the then-current price at the end of each billing period until you cancel. By subscribing, you provide your express affirmative consent to these recurring charges and authorize us and our payment processor to charge your payment method for each renewal term. Before you purchase, we disclose the subscription price, billing frequency, renewal terms, and how to cancel.

Cancellation. You may cancel at any time through your account settings or by contacting us at https://www.thetradingnook.com/contact. Cancellation stops future renewals and takes effect at the end of the current billing period; you retain access until then. Except as stated in our Refunds policy or as required by law, we do not provide prorated refunds or credits for the unused portion of a paid period. We comply with applicable automatic-renewal laws, including the California Automatic Renewal Law.

Price Changes. We may change subscription prices on a going-forward basis. We will provide advance notice, and any change will apply to your next billing cycle after the notice.

Refunds. Our refund policy depends on what you purchased:

  • Digital products and downloads. Digital products delivered electronically — including courses, files, and downloads — are made available to you immediately upon purchase. For that reason, all sales of digital products are final and non-refundable, and digital content cannot be "returned." By completing your purchase of a digital product, you acknowledge that it is made available to you immediately and that the sale is final.

  • Subscriptions and memberships. Subscription and membership fees are non-refundable. You may cancel at any time to stop future renewals (see the Cancellation paragraph above); cancellation prevents future charges. We do not provide refunds or credits for the current or any partially used billing period.

  • Goodwill exceptions. Regardless of the above, we may, in our sole discretion, issue a refund or credit for a duplicate or erroneous charge, a defective or incorrect file, or content you paid for that we were unable to deliver or that you were unable to access.

 

The federal FTC Cooling-Off Rule's three-day cancellation right applies only to certain in-person sales and does not apply to online purchases such as those made through this Site. Nothing in this Section limits any right that cannot lawfully be waived, including rights under the Texas Deceptive Trade Practices–Consumer Protection Act.

One-Time Purchases. Courses, tools, downloads, and other one-time purchases are licensed to you for your personal, non-commercial use. Because these are digital products made available to you immediately upon purchase, all sales are final and non-refundable, except as described in the Refunds policy above or as required by law.

Chargebacks. If you initiate a chargeback or payment dispute without first contacting us to resolve the issue, we reserve the right to suspend or terminate your account and access to paid Services.

Donations. Donations are voluntary and non-refundable. The Trading Nook is not a registered 501(c)(3) tax-exempt organization, and donations are therefore not tax-deductible.

6. User-Generated Content

Submission of Content. If the Site allows users to submit content (such as comments, reviews, or forum posts), you retain ownership of your content but grant The Trading Nook a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in any existing or future media formats.

Content Standards. User-generated content must not:

  • Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.

  • Promote sexually explicit material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.

  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights of any other person.

  • Violate the legal rights of others or contain any material that could give rise to civil or criminal liability under applicable laws.

  • Be likely to deceive or mislead any person.

  • Promote any illegal activity or advocate, promote, or assist any unlawful act.

 

Monitoring and Enforcement. We have the right but not the obligation to:

  • Remove or refuse to post any user-generated content for any reason.

  • Take any action with respect to user-generated content that we deem necessary or appropriate.

  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights.

 

7. Endorsements, Testimonials & Affiliate Disclosure

Any testimonials or reviews displayed on the Site reflect the individual experiences of those who provided them, are not typical, and are not a guarantee that you will achieve similar results. Where we have a material connection to an endorser—such as payment, free or discounted products, or an affiliate or commission relationship—we disclose that connection. The Site may contain affiliate links, and we may earn a commission if you make a purchase through them, at no additional cost to you. This disclosure is provided in accordance with the U.S. Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising.

8. DMCA / Copyright Complaints

We respect the intellectual property rights of others and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (17 U.S.C. § 512).

Notice of Infringement (§ 512(c)(3)). If you believe content on the Site infringes your copyright, please send a written notice to our Designated Agent that includes all of the following: (i) a physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf; (ii) identification of the copyrighted work claimed to have been infringed (or a representative list, if multiple works); (iii) identification of the material that is claimed to be infringing and that is to be removed, with information reasonably sufficient to let us locate it on the Site (such as the URL); (iv) information reasonably sufficient to let us contact you, such as your name, mailing address, telephone number, and email address; (v) a statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notice is accurate, and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner's behalf.

Designated Agent. Until we register a formal Designated Agent with the U.S. Copyright Office, copyright notices under this Section may be submitted through our contact page at https://www.thetradingnook.com/contact (Attn: Copyright Agent). We are in the process of designating an agent to receive notices under 17 U.S.C. § 512, and will post the agent's name and contact details here once that registration is complete.

Counter-Notice (§ 512(g)). If your material was removed or disabled and you believe this was a mistake or misidentification, you may send our Designated Agent a written counter-notice that includes: (i) your physical or electronic signature; (ii) identification of the material that was removed or disabled and the location at which it appeared before removal; (iii) a statement, under penalty of perjury, that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification; and (iv) your name, address, and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district in which your address is located (or, if outside the United States, for any judicial district in which we may be found), and that you will accept service of process from the person who filed the original notice or their agent. We may restore the removed material in not less than 10 and not more than 14 business days after receiving a compliant counter-notice, unless the original complainant notifies us that they have filed a court action seeking to restrain the allegedly infringing activity.

Repeat Infringers. We have adopted and will reasonably implement a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers. We may also remove or disable access to allegedly infringing material at any time.

False Notices. Under 17 U.S.C. § 512(f), any person who knowingly materially misrepresents that material is infringing, or was removed by mistake, may be liable for damages.

9. Third-Party Links and Content

Third-Party Links. Our Site may include links to third-party websites. We are not responsible for the content, accuracy, or practices of those websites. Your use of third-party sites is at your own risk.

Third-Party Content. The Site may incorporate content from third parties, including data, tools, or educational resources. This content is provided for convenience and informational purposes only. We do not endorse or guarantee the accuracy of any third-party content.

10. Privacy and Data Protection

Your use of the Site is also governed by our Privacy Policy (Part III), which is incorporated into these Terms by reference. Please review the Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

11. Disclaimer of Warranties

The Site and its content are provided "as is" and "as available." We make no warranties or representations, express or implied, about the accuracy, reliability, or suitability of the content.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose.

  • Warranties regarding security, reliability, timeliness, and performance of the Site.

  • Warranties regarding the accuracy or completeness of the Site's content.

  • Warranties that your use of the Site will meet your requirements or be uninterrupted, timely, secure, or error-free.

 

12. Limitation of Liability

To the fullest extent permitted by law, The Trading Nook shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of (or inability to use) the Site or any content therein, even if we have been advised of the possibility of such damages.

LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AND EXCEPT AS PROVIDED BELOW, THE TRADING NOOK'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES, THE CONTENT, OR THESE TERMS — WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE — SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE TOTAL AMOUNTS YOU PAID TO THE TRADING NOOK (INCLUDING SUBSCRIPTION FEES AND ONE-TIME PURCHASES, BUT EXCLUDING DONATIONS) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

EXCEPTIONS. NOTHING IN THESE TERMS LIMITS OR WAIVES ANY LIABILITY OR RIGHT THAT CANNOT LAWFULLY BE LIMITED OR WAIVED. THE ABOVE LIMITATION DOES NOT APPLY TO, AND YOU DO NOT WAIVE: (i) RIGHTS UNDER THE TEXAS DECEPTIVE TRADE PRACTICES–CONSUMER PROTECTION ACT (TEX. BUS. & COM. CODE § 17.41 ET SEQ.); (ii) LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR INTENTIONAL MISCONDUCT; OR (iii) LIABILITY FOR PERSONAL INJURY OR DEATH. IF ANY PORTION OF THIS SECTION IS HELD UNENFORCEABLE, IT SHALL BE SEVERED TO THE MINIMUM EXTENT NECESSARY AND THE REMAINDER SHALL REMAIN IN EFFECT.

13. Indemnification

You agree to indemnify, defend, and hold harmless The Trading Nook, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms by you or any activity related to your account (including negligent or wrongful conduct).

14. Accessibility

We are committed to making the Site accessible to all users and strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. Accessibility is an ongoing effort. If you encounter a barrier or have difficulty accessing any part of the Site, please contact us at https://www.thetradingnook.com/contact, and we will make reasonable efforts to address the issue and provide the information or functionality you need through an alternative means.

15. Governing Law, Jurisdiction & Geographic Scope

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Texas for the resolution of any disputes not subject to arbitration.

Geographic Scope (United States Only). This website, and all content, paid subscriptions, one-time digital purchases, donations, newsletter, and members-area features offered through it (the "Services"), are intended solely for, and directed only to, persons located in the United States and its territories. The Services are not directed to, offered to, or intended for use by any person located in the European Union, the European Economic Area, the United Kingdom, or any other country or jurisdiction outside the United States.

By accessing or using the Services, you represent and warrant that you are located in the United States (or a U.S. territory) and are accessing the Services from within the United States. We do not target, market, or direct the Services to any person outside the United States, do not knowingly offer goods or services to, or monitor the behavior of, individuals located outside the United States, and make no representation that the Services are appropriate, lawful, or available for use outside the United States. We may use technical measures, including geographic (IP-based) restrictions, to limit access to U.S. users, and we reserve the right to refuse, restrict, or terminate access from outside the United States at our sole discretion.

If you choose to access the Services from a location outside the United States, you do so on your own initiative and at your own risk, and you are solely responsible for compliance with all applicable local laws. You agree that, to the fullest extent permitted by law, the laws of jurisdictions outside the United States do not govern these Terms or your use of the Services. Nothing in this section is intended to deprive any consumer of non-waivable rights that mandatory law expressly provides and that cannot lawfully be disclaimed.

16. Dispute Resolution

Informal Resolution. Before filing a claim against The Trading Nook, you agree to attempt to resolve the dispute informally by contacting us at https://www.thetradingnook.com/contact. We will attempt to resolve the dispute by contacting you via email.

 

Arbitration. If the dispute cannot be resolved informally, you and The Trading Nook agree to resolve any disputes through binding arbitration in accordance with the rules of the American Arbitration Association (AAA) rather than in court, except that you may assert claims in small claims court if your claims qualify.

 

Class Action Waiver. You agree that any proceedings to resolve disputes will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Right to Opt Out of Arbitration. You may opt out of this arbitration agreement and class-action waiver by sending written notice to https://www.thetradingnook.com/contact within 30 days of first accepting these Terms. Your notice must include your name and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

Attorney's Fees (Prevailing Party). To the fullest extent permitted by applicable law, in any arbitration, action, or proceeding arising out of or relating to these Terms or your use of the Site, the prevailing party shall be entitled to recover its reasonable and necessary attorney's fees, expert fees, and costs from the non-prevailing party, in addition to any other relief to which it is entitled. For purposes of this provision, a party "prevails" only if it obtains actual and meaningful relief that materially alters the legal relationship between the parties (for example, an enforceable judgment or award of damages or equitable relief); a finding in a party's favor that results in no recovery of damages or other relief does not by itself make that party the prevailing party. Nothing in this provision waives, limits, or modifies any right or remedy that may not be waived under applicable law, including any right of a prevailing consumer to recover attorney's fees under, or any limitation on the recovery of a defendant's fees imposed by, the Texas Deceptive Trade Practices–Consumer Protection Act (Tex. Bus. & Com. Code ch. 17) or any other applicable consumer-protection, securities, or non-waivable statute.

Recovery of Our Fees for Baseless or Bad-Faith Claims. To the fullest extent permitted by applicable law, and in addition to (and without limiting) any other remedy available to us, you agree that if you bring or assert any claim, demand, arbitration, action, or proceeding against us arising out of or relating to these Terms or your use of the Site that is (a) groundless in fact or law, (b) frivolous, (c) brought in bad faith, (d) brought for the purpose of harassment, or (e) clearly barred by these Terms, then you shall reimburse us for the reasonable and necessary attorney's fees, expert fees, and costs we incur in defending against or responding to that claim, as determined by the arbitrator or court. Nothing in this provision authorizes us to recover fees from you for any claim brought in good faith, nor waives, limits, or modifies any right or remedy that may not be waived under applicable law, including the attorney-fee provisions and standards of the Texas Deceptive Trade Practices–Consumer Protection Act (Tex. Bus. & Com. Code ch. 17).

The foregoing attorney-fee provisions are subject to, and shall be applied consistent with, the AAA Consumer Arbitration Rules and any applicable AAA fee-allocation rules, which control in the event of any conflict. If any portion of these attorney-fee provisions is held unenforceable, the remainder of this Section and these Terms shall remain in full force and effect.

17. General Provisions

Force Majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, outages, labor disputes, or governmental action.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision.

Consent to Electronic Communications. You consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing (consistent with the federal E-SIGN Act and applicable state law).

Survival. Provisions that by their nature should survive termination of these Terms—including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution—will survive.

No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.

Notices. Legal notices to us must be sent to https://www.thetradingnook.com/contact. We may provide notices to you by email or by posting them on the Site.

18. Changes to the Site

We reserve the right to withdraw or amend the Site, and any service or material we provide on the Site, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Site is unavailable at any time or for any period.

19. Modifications to the Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Effective Date." Continued use of the Site after changes constitutes your acceptance of the new Terms.

20. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

21. Entire Agreement

These Terms, together with the Disclaimer and Privacy Policy below and any other legal notices published by The Trading Nook on the Site, constitute the entire agreement between you and The Trading Nook concerning the Site.
